What Offer Letter Clarity reviews
The clauses that decide whether the offer is what they pitched.
- Cash structure. Base, signing bonus, target bonus, and OTE realism. We flag discretionary bonuses dressed up as targets.
- Equity reality check. Type (ISO/NSO/RSU), vesting, cliff, double-trigger, post-termination exercise window, and dilution risk.
- Restrictive covenants. Non-compete, non-solicit, IP assignment, moonlighting, garden leave, with state-specific enforceability flags.
- Rights you’d waive. Mandatory arbitration, class-action waivers, jury-trial waivers, choice-of-law gaming.
- Questions to ask before you sign. 3–5 specific, named pushback items for your recruiter.

Common questions
Are you lawyers?
No. Offer Letter Clarity is not a law firm and we do not provide legal advice. We provide structured informational analysis of the document you give us. If you want legal advice, talk to a licensed attorney in your state, and we’ll happily hand you the report to bring to them.
Will the company find out I had this reviewed?
No. We don’t contact your prospective employer. Your offer letter and your analysis are private to you.
How long does it take?
Most reviews are ready in under 10 minutes after payment. Complex packages with equity grants, restrictive covenants, or multi-document offers may take longer; we’ll email you when it’s ready.
Should I send the equity grant separately?
Yes if you have it. Equity grant documents (RSU agreement, option agreement, stock plan) carry the terms that the offer letter only summarises. We’ll read them alongside the offer and flag the gap between what was pitched and what was papered.
What about the non-compete or non-solicit?
We read them carefully. Enforceability varies state by state, California voids most non-competes, other states scrutinise scope and duration, and a handful enforce them broadly. Tell us your jurisdiction and we’ll flag the considerations relevant to where you live and work, informational only, not legal advice.
What if I want to counter?
We surface the specific clauses worth pushing on with suggested language. We can’t tell you what your leverage is, only you know that, but we’ll show you which terms are negotiable, which are usually fixed, and which are quietly costing you the most.
Can you tell me whether to take the job?
We won’t make that call for you. We’ll show you exactly what the offer says, where the trade-offs are, and what to ask for in writing before you sign. The decision is yours.
